Item 4.01 Changes in Registrants Certifying Accountants.
 
(a) Termination of Independent Registered Public Accounting Firm
 
On May 6, 2024, Odyssey Semiconductor Technologies, Inc. (the “Company”) dismissed BF Borgers CPA PC (“BF Borgers”) as its independent registered public accounting firm. The Company’s audit committee and the board of directors unanimously approved the decision to dismiss BF Borgers. The Company is in the process of reviewing potential engagement options for a new independent registered public accounting firm.
 
As previously disclosed in a Current Report on Form 8-K on May 5, 2023, BF Borgers was engaged as the Company’s independent registered public accounting firm on May 1, 2023 for the audit of the Company for the fiscal year ended December 31, 2023. Since the engagement, BF Borgers reviewed the financial statements included in the Company’s Quarterly Reports on Form 10-Q for the periods ended March 31, 2023, June 30, 2023 and September 30, 2023. However, as of the date hereof, BF Borger has not engaged in any audit of the Company’s consolidated financial statements for the year ended December 31, 2023 or other periods, nor has it issued any audit reports for the Company.
 
There have been no “disagreements” (as that term is defined in Item 304(a)(1)(iv) of Regulation S-K) and no “reportable event” occurred (as that term is defined in Item 304(a)(1)(v) of Regulation S-K during the fiscal years ended December 31, 2023 and 2022 and the subsequent interim periods up to and including the date of BF Borgers’ dismissal between the Company and BF Borgers on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which, if not resolved to the satisfaction of BF Borgers, would have caused them to make reference to the subject matter of the disagreement in connection with their report on the Company’s financial statements for those periods.
 
BF Borgers is not currently permitted to appear or practice before the Commission for reasons described in the SEC’s Order Instituting Public Administrative and Cease-and-Desist Proceedings Pursuant to Section 8A of the Securities Act of 1933, Sections 4C and 21C of the Securities Exchange Act of 1934 and Rule 102(e) of the Commission’s Rules of Practice, Making Findings, and Imposing Remedial Sanctions and a Cease-and-Desist Order, dated May 3, 2024. Therefore, we are not requesting BF Borgers to furnish our Company with a letter addressed to the Securities and Exchange Commission stating whether or not it agrees with the statements made herein as required by Item 304 of Regulation S-K.
